The James River Arts Council (JRAC) is dedicated to promoting a greater understanding and appreciation of all the arts through education, encouragement and support of arts organizations and of local talent, and by providing arts information to the Scottsville community.

Mission Statement
The James River Arts Council (JRAC) is dedicated to promoting a greater understanding and appreciation of all the arts through education, encouragement and support of arts organizations and of local talent, and by providing arts information to the Scottsville community.
Article 1 - Name
The corporation shall be known as the James River Arts Council, Inc. (JRAC) and shall be located in Scottsville, Virginia, Albemarle County.
Article 2 - Membership
Section 1 - Membership in the JRAC shall be open to everyone interested in the arts. Membership fees are renewable annually in January. Dues are established by the Board.
Section 2 - An active member in good standing has paid the current annual dues.
Article 3 - Meetings of the Members
Section 1 - Four (4) General Membership Meetings shall be held, one of which shall be the Annual Meeting in January. Remaining dates will be approved by a consensus of the members.
Section 2 - Business shall be transacted by a majority vote of those present
Article 4 - Board of Directors
Section 1 - The JRAC shall be managed by a board of nine (9) directors who shall serve without compensation and who shall be elected by the active members in good standing at the Annual Meeting.
Section 2 - Board members serve a three- (3) year term. Directors shall be elected on a rotating schedule and may not serve more than two (2) consecutive terms, but may return after an interval of one year
Section 3 - Duties of the Board of Directors shall be as follows:
A. Make all decisions concerning policies of the JRAC
B. Develop and recommend the annual budget.
C. Approve all non-budgeted JRAC expenditures over $500.00.
D. Fix the duties and compensation of all personnel employed by the JRAC.
Section 4 - The Board of Directors shall meet at least semiannually and at other times as deemed necessary. Seven (7) Board members shall constitute a quorum.
Article 5 - Officers
Section 1 - The officers: President, Vice-President, Treasurer and Secretary shall be elected from the Board of Directors by the Board annually and shall constitute the Executive Committee. If necessary, an officer vacancy may be filled by the Board
Section 2 - Officers' duties will be as follows:
President
A. Shall preside at Board meetings.
B. Shall appoint committee chairpersons as needed.
C. Shall be an ex-officio member of all committees.
D. Shall be empowered to sign all contracts, documents and other instruments requiring execution by the JRAC
Vice-President
A. Shall preside at the membership meetings.
B. Shall perform the functions of the president in the absence of, or at the request, of the president.
C. Shall be responsible for filing and conserving committee and project reports.
Secretary
A. Shall keep the minutes of the regular and Board meetings of the JRAC, and make them available in a timely fashion.
B. Shall have charge of the minutes, books, records, and papers of the JRAC relating to its organization and operations.
C. Shall make such reports and perform such other duties as are incident to the office of the secretary or are required by the Board of Directors.
D. Shall keep file copies of all correspondence and notices.
Treasurer
A. Shall keep the financial accounts of the JRAC, collect its revenues and pay bills approved by the Executive Committee.
B. Shall receive annual dues and keep a listing of all current members of the JRAC
C. Shall be responsible for income and disbursement of JRAC funds.
D. Shall chair the Finance Committee.
Article 6 - Committees
Section 1 - Ad-hoc Committees may be formed as needed to carry out the Mission of JRAC. Committee chairmen develop their own committees.
Section 2 - Administrative Committees:
A. Executive Committee: (see Article V)
B. Nominating Committee:
1. Shall be comprised of three members, one of whom is a member of the Board of Directors.
2. At the Fall meeting shall nominate three candidates for the Board of Directors to be elected at the Annual Meeting by the general Membership
3. Between elections, any vacancies on the Board of Directors shall be filled with a person recommended by the nominating committee to serve the balance of that calendar year.
C. Finance Committee:
1. Shall be comprised of three (3) members, one of whom shall be the Treasurer.
2. Review and recommend all non-budgeted JRAC expenditures over $500.00.
3. Cause the financial records of the JRAC to be reviewed annually by a financial consultant, who shall not be a director of the JRAC.
4. May appoint an Assistant Treasurer.
D. Publicity Committee:
Shall advance and promote the activities of JRAC.
E. Membership Committee:
Shall promote and maintain membership of JRAC
Article 7 - Voting
Section 1 - An active member in good standing shall have one vote
Section 2 - Secret ballot may be used when requested by a majority of those present at a meeting.
Section 3 - A majority of those present shall be required unless the by-laws state otherwise.
Section 4 - Voting by proxy is not permitted.
Article 8 - Misc.
Any change to the by-laws of the JRAC shall be presented and discussed by the members at a regular meeting. A two-thirds majority vote of active members present at a meeting is required for any change of the by-laws, provided the proposed change has been publicized 20 days prior to the meeting at which such action is proposed.
Incorporation of this non-profit, tax-exempt organization took place on 10 January 1996; see Articles of Incorporation. A copy of the by-laws and Articles of Incorporation will be furnished without charge to each membership in the JRAC, and copies shall be made a matter of public record and are available through the secretary upon request.
